Strategic Alliance in the Polish and Central and Eastern European Markets

Dear Sir or Madam,

We are proud to announce the formation of a strategic alliance between the French HBF Group, through its subsidiary HBF POLSKA Sp. z o.o., and the Polish company ORNO GROUP Sp. z o.o.

This is an important step in the development of both organizations, aimed at combining our expertise, experience and technological capabilities and, above all, providing our Customers and Partners with an even higher quality of service, more efficient logistics, and access to a broader and more innovative product portfolio.

For HBF GROUPE, cooperation with ORNO GROUP means strengthening its operational and commercial structures in Poland and Central and Eastern Europe by leveraging ORNO's experience and established market position. This will further improve customer service efficiency, supported by efficient logistics.

For ORNO GROUP, the alliance provides access to HBF GROUPE's international resources, including its own manufacturing facilities in China, an extensive R&D department, and sourcing capabilities in China and Europe.

Combining Expertise and Expanding Our Portfolio

ORNO GROUP and HBF will jointly develop HBF's existing product portfolio, including:

1. Wall Sockets & Switches – electrical sockets and installation accessories, under the ZENITECH brand
2. Electrical solutions for offices, kitchens and households, under the WATT&CO brand
3. Electrical Accessories & Smart Living – electrical accessories and Smart Living solutions, under the OTIO brand

At the same time, the alliance opens up new areas of development and joint investment for both organizations, particularly in the following areas:

1. Climate Engineering Solutions – HVAC: heating, ventilation and air conditioning
2. Battery & Energy Storage Solutions: energy storage solutions
3. Renewable Energy Sources: renewable energy solutions

Our ambition is to leverage the potential of both companies to create new product categories and solutions that respond to the changing needs of the European market.

Organizational Changes as of 1 October 2026

As of 1 October 2026, ORNO GROUP Sp. z o.o. will officially assume responsibility for the operational management and local support activities of HBF POLSKA Sp. z o.o.

To ensure complete continuity of service and supply, current logistics operations and delivery arrangements will remain unchanged for the time being. Any future planned changes relating to the warehouse location, the relocation of the HBF office to Gliwice, logistics flows or delivery addresses will be communicated separately and implemented only after compliance with the respective customer procedures, notification periods and approval requirements.

Continuity of Cooperation

We would particularly like to emphasise that HBF POLSKA Sp. z o.o. will retain its full legal independence.

All existing agreements, commercial terms, purchase orders and business arrangements will remain in force. Sales, invoicing and settlements will continue to be conducted through HBF POLSKA Sp. z o.o.

Therefore, these organizational changes do not require any new agreements to be concluded with either HBF POLSKA Sp. z o.o. or ORNO GROUP Sp. z o.o. For our partners, this transition is organizational in nature and is designed to further strengthen service quality and operational efficiency.

Customer Transition Support
